NexHealth, Inc. and its affiliates (“Company”, “we”, “our”, or “us”) provide access to certain templates (“Templates”). These Template Terms of Use (“Template Terms”) cover your access to and use of the Templates. These Template Terms only cover the Templates and do not govern the services that we offer. The use of our services, is subject to separate terms and conditions.
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THESE TEMPLATES. BY ACCESSING OR USING THESE TEMPLATES, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS.

7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR RELIANCE ON THE TEMPLATES, INCLUDING BUT NOT LIMITED TO ANY REGULATORY ACTION, LEGAL CLAIM, OR THIRD-PARTY DEMAND, REGARDLESS OF WHETHER OR NOT COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGE OR PENALTY AND WHETHER OR NOT SUCH LOSS, DAMAGES OR PENALTIES WERE FORESEEABLE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY’S TOTAL CUMULATIVE AGGREGATE LIABILITY UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH THE TEMPLATES SHALL NOT EXCEED $50.
8. Indemnification
You agree to defend, indemnify, and hold harmless Company and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use, adaptation, or adoption of the Templates; (b) any privacy policy or terms and conditions You publish based on or derived from the Templates; (c) any claim by a third party arising from your privacy practices or website terms; or (d) your breach of these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Utah, without regard to its conflict of laws principles. Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Utah, and the parties hereby irrevocably consent to personal jurisdiction and venue in such courts.
10. Severability
If any provision of this Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
